By accessing or using OneSpace services, you agree to be bound by these Terms and Conditions.

1. Acceptance of Terms

By accessing or using the OneSpace service ("Service") provided by OneSpace ("Company," "we," "our," or "us"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

2. Description of Service

OneSpace provides digital transformation solutions including business process automation, system integrations (Pipedrive, Monday.com, etc.), workflow optimization, custom automation development, and consultation services. Our Pipedrive-Monday Integration is a software-as-a-service (SaaS) application that enables users to synchronize data between their Pipedrive CRM and Monday.com project management platforms. The Service facilitates automated data transfer, field mapping, and workflow integration between these third-party platforms.

3. User Accounts and Registration

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials. You must have valid accounts with both Pipedrive and Monday.com to use our Service. You must be at least 18 years old to create an account.

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. API Permissions and Data Access

4.1 Pipedrive API Permissions

To provide the Service, we require the following permissions for your Pipedrive account:

  • Read and Write Deals: Access deal information including title, value, stage, expected close date, and custom fields to synchronize with Monday.com boards.
  • Read and Write Contacts (People and Organizations): Access contact details including names, email addresses, phone numbers, and custom fields for comprehensive data synchronization.
  • Read User Data: Access user information to properly assign ownership and responsibility in synchronized data.
  • Search Functionality: Perform searches across your Pipedrive data to identify and map corresponding entries.
  • Webhook Creation and Management: Create webhooks to receive real-time notifications when data changes in Pipedrive, enabling immediate synchronization.

4.2 Monday.com API Permissions

To provide the Service, we require the following permissions for your Monday.com account:

  • Read and Write Boards: Access board structure, items, columns, and values to synchronize data from Pipedrive.
  • Read and Write Workspaces: Access workspace information to organize and structure synchronized data appropriately.
  • Read Users: Access user information for proper assignment of ownership and collaboration features.
  • Read and Write Updates: Create and manage item updates to maintain activity synchronization between platforms.
  • Webhook Management: Create webhooks to receive real-time notifications when data changes in Monday.com, enabling bidirectional synchronization.

4.3 Data Usage and Processing

We process your data solely to provide the integration service between Pipedrive and Monday.com. Data processing includes reading, transforming, mapping, and writing data between the platforms according to your configuration. We do not use your business data for any purpose other than providing the Service. All data processing occurs on secure servers with encryption in transit and at rest.

4.4 Data Retention and Storage

We temporarily store your data during synchronization processes. Synchronized data is not permanently stored on our servers beyond what is necessary for service operation. We maintain logs of synchronization activities for 90 days for troubleshooting and support purposes. You may request data deletion at any time through your account settings.

4.5 API Rate Limits and Restrictions

Our Service operates within the API rate limits imposed by Pipedrive and Monday.com. These limitations may affect synchronization frequency and speed. We implement queuing and retry mechanisms to ensure data consistency while respecting platform limitations. Premium plans may include higher priority processing and dedicated API allocations.

5. Subscription Plans and Billing

5.1 Plan Types

Starter Plan: $9 USD per month per user, includes basic synchronization features and standard support. Professional Plan: $12 USD per month per user, includes advanced mapping, real-time sync, and priority support. Free Trial: 21-day trial period for Professional Plan features.

5.2 Billing Terms

Subscription fees are billed monthly in advance. All fees are non-refundable except as expressly stated in our refund policy. Price changes will be communicated 30 days in advance. Taxes may apply based on your location and applicable tax laws.

5.3 Payment Processing

Payments are processed through Stripe, Inc. You authorize us to charge your chosen payment method for applicable fees. Failed payments may result in service suspension after reasonable notice and multiple retry attempts.

5.4 Refund Policy

Refunds are available within 14 days of initial subscription purchase for unused portions of the service. No refunds for monthly subscription renewals. Trial cancellations before trial expiry incur no charges. Refunds will be processed to the original payment method within 5-10 business days.

6. Third-Party Platform Integration

6.1 Required Authorizations

You must authorize our Service to access your Pipedrive and Monday.com accounts through their respective OAuth authentication systems. You represent that you have the authority to grant such access. We will only access data necessary for the Service functionality as outlined in Section 4.

6.2 Third-Party Terms Compliance

You must comply with Pipedrive's and Monday.com's respective Terms of Service and acceptable use policies. Any violation of third-party platform terms may result in service termination. We are not responsible for changes to third-party platform APIs, policies, or service availability.

6.3 Data Synchronization

Data synchronization occurs based on your configured settings and mapping preferences. We make best efforts to ensure data accuracy and consistency but cannot guarantee perfect synchronization due to platform limitations. You are responsible for verifying critical data transfers and maintaining backups of important information.

6.4 Platform Limitations

Service functionality is subject to the capabilities and limitations of Pipedrive and Monday.com APIs. Changes to these platforms may affect service features. We will make reasonable efforts to adapt to platform changes but cannot guarantee continued compatibility with all features.

7. Data Export and Portability

7.1 Data Export Rights

You have the right to export your synchronization configurations, mapping settings, and integration logs at any time through your account dashboard. Exported data will be provided in standard formats (JSON, CSV) for portability to other systems.

7.2 Data Migration Support

Upon request, we will provide reasonable assistance in migrating your integration configurations to alternative solutions. Migration support may be subject to additional fees depending on complexity and resource requirements.

8. Acceptable Use Policy

8.1 Permitted Uses

Use the Service for legitimate business purposes. Synchronize data between your authorized Pipedrive and Monday.com accounts. Configure integrations according to your business needs and workflows. Access support resources and documentation.

8.2 Prohibited Uses

Use the Service for illegal activities or to violate any laws. Attempt to reverse engineer, hack, or compromise the Service. Share account credentials with unauthorized parties. Use the Service to transmit malicious code, spam, or harmful content. Violate intellectual property rights of any party. Attempt to access other users' data or accounts. Exceed reasonable usage limits or attempt to disrupt service operations.

9. Data Privacy and Security

9.1 Data Collection and Processing

We collect and process data as described in our Privacy Policy. Data processing is limited to providing the integration service and improving service quality. We implement industry-standard security measures including encryption, access controls, and monitoring systems.

9.2 Data Security Measures

We use AES-256 encryption for data at rest and TLS 1.3 for data in transit. All access to your data is logged and monitored. Our infrastructure is hosted on secure cloud platforms with SOC 2 Type II compliance. Regular security audits and penetration testing are conducted.

9.3 Data Retention Policy

Synchronization data is retained only as long as necessary to provide the service. Account data is retained for 30 days after account deletion. Logs and analytics data may be retained for up to 1 year for security and service improvement purposes. You may request immediate data deletion subject to legal and regulatory requirements.

9.4 Third-Party Data Sharing

We do not sell, trade, or rent your personal or business data to third parties. Data may be shared only with trusted service providers who assist in delivering our services and are bound by confidentiality agreements. We may disclose data when required by law or to protect our rights and the rights of others.

10. Intellectual Property Rights

10.1 Our Intellectual Property

The Service, including software, documentation, designs, and content, is owned by OneSpace and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.

10.2 Your Data Ownership

You retain all ownership rights to your business data, configurations, and content provided to the Service. You grant us a limited license to process your data solely to provide the Service. We do not claim ownership of your business data or derivative works created from your data.

10.3 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide about the Service may be used by OneSpace without restriction or compensation. You waive any rights to such feedback and acknowledge that OneSpace may incorporate it into the Service or future products.

11. Service Availability and Support

11.1 Service Availability

We strive to maintain 99.5% uptime but do not guarantee uninterrupted service availability. Scheduled maintenance will be communicated at least 24 hours in advance when possible. We are not liable for service interruptions caused by factors beyond our reasonable control, including third-party platform outages.

11.2 Customer Support

Technical support is provided via email at hello@onespace.com. Response times vary by subscription plan: Starter Plan (48-72 hours), Professional Plan (24-48 hours). Emergency support for critical issues may be available for Professional Plan subscribers. Support is provided during business hours (9 AM - 6 PM IST, Monday-Friday).

11.3 Service Level Agreement

For Professional Plan subscribers, we commit to investigating and responding to critical service issues within 4 hours during business hours. Service credits may be available for extended outages exceeding our uptime commitments, as detailed in your subscription agreement.

12. Limitation of Liability

12.1 Service Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or secure operation.

12.2 Liability Limitations

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption.

12.3 Third-Party Platform Disclaimer

We are not responsible for the availability, functionality, or security of Pipedrive, Monday.com, or other third-party platforms. Data loss or corruption caused by third-party platform issues is not our responsibility. You acknowledge the inherent risks of data synchronization and agree to maintain appropriate backups.

12.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, cyber attacks, third-party service outages, or other acts of God.

13. Termination

13.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months except as stated in our refund policy.

13.2 Termination by Us

We may terminate your account immediately for violation of these Terms, non-payment after reasonable notice, or if we determine that continued service provision poses security risks. We will provide 30 days' notice for termination without cause, except in cases of Terms violations.

13.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. Your data and configurations will be retained for 30 days to allow for data export, after which they will be permanently deleted. Outstanding fees remain due and payable. Termination does not relieve you of obligations incurred prior to termination.

14. Changes to Terms

14.1 Modification Rights

We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via email and prominently displayed in the Service. Continued use after notification constitutes acceptance of modified Terms.

14.2 Notice Period

We will provide at least 30 days' notice for material changes that adversely affect your rights. You may terminate your account if you disagree with the changes. Minor changes, such as clarifications or formatting updates, may be implemented without advance notice.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

15.2 Dispute Resolution Process

Before pursuing legal action, you agree to attempt resolution through our customer support process. Formal disputes must be initiated within one year of the incident giving rise to the dispute. Both parties agree to participate in good faith mediation before resorting to litigation.

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration against OneSpace.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and OneSpace regarding the Service. These Terms supersede all prior or contemporaneous agreements, understandings, and communications.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable.

16.3 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including to affiliates or in connection with a merger, acquisition, or sale of assets.

16.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of OneSpace.

16.5 Survival

Provisions that by their nature should survive termination will survive, including intellectual property rights, liability limitations, indemnification obligations, and dispute resolution procedures.
